Bylaws for the American Buffalo Club Association
Artilce I:
Name
The name of this association shall be American Buffalo Club Association (ABCA). Here after referred to as "Association."
Article II:
Purpose
The purpose of the Association shall be to promote social interest in the Buffalo Club and strengthen the Association memberships through a strong network of current Buffalo Club members.
Artile III:
Members
Section 1. Any person initiated into the Buffalo Club can become a member of the Association
Section 2. Membership is free to the Association
Section 3. Members may contribute to the Associations meetings (defined in "Article VI", "Section 1").
Section 4. Members of the Association are all of equal status
Section 5. Members do not have ownership or any financial interest of the Association
Artile IV:
Officers
The Association shall not have elected officers.
Article V:
Executive Council
Section 1. The Association shall have one Executive Director responsible for making all decisions for the Association.
Section 2. The Executive Director may use the majority opinion of the members to make changes to the Association.
Section 3. The Executive Director shall remain anonymous for his or her term.
Section 4. Only the current Executive Director can appoint his or her predecessor.
Section 5. The current Executive Director shall determine the length of his or her term.
Article VI:
Meetings
Section 1. The Association's meetings shall consist of one member or the Executive Director interacting with other members via the Association's Social Media outlets (Association website, Facebook, Twitter, etc).
Section 2. The Association shall hold at least one meeting per calendar year.
Article VII:
Indemnification
The Association shall be indemnified against all expenses actually and necessarily incurred in connection with the defense of any action, suit or proceeding to which it has been made a party by any of its members. The Association is not responsible for the individual actions of it's members and encourages all members to play responsibly at all times.
Article VIII:
Rules of Order
The most recent edition of these bylaws shall govern the conduct of the Associations and the Associations meetings.
Article IX:
Amendments to Bylaws
The bylaws shall be reviewed, as needed, by the members of the Association. Suggestions for changes or amendments, with supporting arguments, should be addressed to the Association.
Article X:
Non Existence
The Association is not a legal entity. The Association is a private association with the purpose to promote social interest in the Buffalo Club. The Association shall have and always maintain an "Article X" in the Association bylaws.
